Company advances partnership with GIC and strengthens transmission platform in Brazil

 

Neoenergia announced on Tuesday (April 28) the expansion of its strategic partnership with GIC, through an agreement with Unique Power FIP, involving a 49% stake in seven transmission assets. The agreed value is R$2.4 billion, on the base date of September 30, 2025, subject to the usual adjustments until the conclusion of the transaction.

The assets covered are: Neoenergia Guanabara; Neoenergia Vale do Itajaí; Potiguar Sul; Neoenergia Morro do Chapéu; Neoenergia Estreito; Neoenergia Alto Paranaíba; and Neoenergia Paraíso.

For Eduardo Capelastegui, Neoenergia's CEO, the operation reinforces the company's strategy of long-term partnerships in transmission, with a focus on optimizing the portfolio with value generation, following capital discipline and simplifying the structure.

"The evolution of the partnership that began in 2023 - which has now reached its third transaction with GIC in transmission - demonstrates the strength of this relationship and the consistency of our strategy.We are building a robust, efficient and long-term transmission platform, combining financial discipline, strategic partnerships and a permanent focus on value creation," he said.

The operation represents a new milestone in the strategic partnership with GIC, which began in 2023, and constitutes the third agreement between the parties in the transmission segment, following the creation of Neoenergia Transmissão. This transaction gave rise to Neoenergia Transmissão, a platform under joint control and a 50%/50% shareholding structure.

The agreement with FIP Unique Power also provides for the acquisition by Neoenergia of a 1% stake in Neoenergia Transmissão, giving it control and consolidation, with a 51% stake, further strengthening its leading role in the management and development of the platform.

Scale, Recurrence and Operational Relevance

Upon completion of the transaction, Neoenergia Transmissão will own 16 transmission assets, totaling approximately 6,710 km of lines, with an estimated Annual Permitted Revenue (RAP) of around R$1.8 billion. This portfolio positions the platform among the five largest transmission companies, with diversified assets, regulated revenues and an attractive risk profile.

The transaction reinforces the strategic alignment between Neoenergia and its long-term partner, while advancing the asset rotation plan, portfolio optimization and balance sheet strengthening, without relinquishing control of strategic assets.

Completion of the transaction is subject to compliance with customary conditions precedent, including approvals from the competent regulatory authorities, such as the Administrative Council for Economic Defense (CADE) and the National Electric Energy Agency (ANEEL).
