Board of Directors

The Board of Directors is responsible for guiding the Management by making decisions concerning any and all matters of interest to the company, including strategies and financing policies, debts and warranties, except for those which are the exclusive responsibility of the General Meeting according to the law or Neoenergia or its affiliates articles of association, as applicable.
The Board of Directors of Neoenergia is made up of ten members, four of which are appointed by Previ, four are appointed by Iberdrola and two are appointed by BB-BI.

Fiscal Council

Neoenergia, Coelba, Cosern and Celpe have Fiscal Councils that will be in constant operation. The other affiliates only have Fiscal Councils in fiscal years upon their shareholders request, as set forth in Article 161, paragraph 2 of Act 6.404/76.



Fiscal Councils of Neoenergia and its affiliates are made up of three to five members, with one-year term of office and they may be reelected. All three controlling shareholders holding the majority of binding shares may appoint a member to the Fiscal Council of Neoenergia and its affiliates. The organization of the Fiscal Council of Neoenergia is described below.
